Terms of Service

These terms govern the use of easyworks.ai, the free Scan, the Blueprint, and the systems and assistants Easyworks AI Solutions ("Easyworks", "we", "us") builds and runs for its clients ("you"). When you sign a proposal, scope sheet or engagement agreement with us, that document governs if it conflicts with these terms. Our Privacy Policy explains how we handle information and forms part of these terms.

1. Who we are

Easyworks AI Solutions Inc. is a company registered in British Columbia, Canada. Our affiliate AMPCOS Advisory Group Ltd. may issue invoices and contracts on our behalf; the service you receive is Easyworks either way.

2. The services

• The Scan is a free, automated review of your public web presence. It is a starting point, not a guarantee of any result.
• The Blueprint is a written diagnosis of your business systems, delivered under a written scope.
• Builds and ongoing work (systems, integrations, content, assistants) are delivered under a written proposal or scope sheet that states what we will build, what you will provide, and what each side approves before anything goes live.

3. Your accounts and authorizations

• You connect only accounts and systems you own or are authorized to connect (for example your CRM, your Google account, your social media pages). You may revoke that access at any time; the Privacy Policy explains how.
• You keep the credentials to your own systems. We do not ask for your passwords. Where a platform requires a seat or an authorization for us, it is created in your name and under your control.
• You are responsible for your own obligations to your customers and regulators, including any licensing, consent and record keeping rules that apply to your industry. We build to help you meet them; we do not replace your judgement or your advisors.

4. How assistants act

• An assistant we run for you acts only within rules you have approved. Actions that change your records or reach your contacts are proposed to you first, or run under a standing approval you gave in writing, and you can change those rules at any time.
• Assistant output can be wrong or incomplete. You review drafts, summaries and proposed actions before relying on them. Nothing an assistant produces is legal, financial, tax or professional advice.
• Messages an assistant prepares for your contacts go out under your name. You confirm that you have the consent you need to contact those people, and we apply the stop, quiet hours and do not contact rules the law and the platforms require.

5. Fees

Fees are set out in your written proposal or scope sheet. Invoices are due as stated on them. If an invoice is overdue we may pause work after giving you notice, and resume when it is settled. Fees paid for completed work are not refundable unless the proposal says otherwise.

6. Data and ownership

• Your data stays yours. Your contacts, messages, records, content and connected accounts remain your property. We use them only to deliver the services, as described in the Privacy Policy, and we return or delete them when we part ways.
• Our frameworks stay ours. The methods, software, prompts, templates and tooling we use to build and run your systems remain Easyworks' property. You receive a licence to use what we build for you for as long as we run it for you, and the configurations and content specific to your business are yours to keep.
• Where your proposal grants you ownership of a deliverable, that document controls.

7. Confidentiality

Each of us keeps the other's non public information confidential and uses it only for the engagement. This covers your business information and our methods. It does not cover information that is public, already known, or that the law requires us to disclose.

8. Acceptable use

You will not use our services to send unsolicited bulk messages, to contact people you do not have the right to contact, to upload data you are not permitted to share, or to break any law or platform rule. We may suspend a system that is being used that way until it is resolved.

9. Third party platforms

The systems we build rely on platforms we do not control, such as Google, Meta, CRM and messaging providers. Their terms apply to your accounts with them. We are not responsible for their outages, policy changes or decisions, though we will tell you when one affects your system and work with you on a path forward.

10. Warranties and liability

We deliver our work with reasonable skill and care. Beyond that, the services and software are provided as is, and we do not warrant that they will be uninterrupted or error free. To the extent the law allows, our total liability for any claim arising from the services is limited to the fees you paid us in the three months before the claim, and neither of us is liable to the other for indirect, consequential or lost profit damages.

11. Ending the engagement

Either of us may end an ongoing engagement with 30 days written notice unless your proposal says otherwise. We will hand over the configurations and content that are yours, and delete or return your data as described in the Privacy Policy. Fees for work completed before the end date remain payable.

12. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. Disputes are resolved in the courts of British Columbia, after both of us have made a genuine attempt to settle the matter directly.

13. Changes

We may update these terms from time to time. Material changes will be reflected by the date above, and we will tell active clients directly.
